SUBSCRIPTION TERMS AND AUTO-RENEWAL DISCLOSURE

These Subscription Terms and Auto-Renewal Disclosure (the “Subscription Terms”) govern all subscription-based products, auto-ship programs, recurring purchase plans, and similar offerings (collectively, “Subscriptions”) made available to approved members through the Services (wellnessfromwithin.life, www.vilixium.com, members.vilixium.com, and portal.vilixium.com) operated by VLXM LLC. Wellness From Within is the Private Membership Association (the “PMA”). VLXM LLC, a Florida limited liability company (“VLXM LLC,” “Company,” “we,” “us,” or “our”), is the company that operates the Vilixium® brand and commercially supports the PMA under licence from its parent company. By enrolling in a Subscription, you agree to these Subscription Terms, the Terms of Service, the Privacy Policy, and the Refund and Returns Policy, each incorporated herein by reference. In the event of any conflict between these Subscription Terms and the Terms of Service with respect to recurring billing, these Subscription Terms control as to their subject matter.
IMPORTANT — AUTO-RENEWAL DISCLOSURE: A Subscription automatically renews and charges your designated payment method on a recurring basis until you cancel. You may cancel at any time before the next billing date through your Account or by contacting contact@vilixium.com. Cancellation applies to future renewals only and does not retroactively reverse charges already processed.
1. Eligibility; Members Only
Subscriptions are available only to approved members in good standing and apply only to purchases of Products through the members-only storefront. Subscriptions are offered only for delivery to served U.S. addresses (all U.S. states except Washington and Nevada). We do not offer cross-border or international Subscriptions.
2. The Membership Fee Is Not a Subscription
For the avoidance of doubt, the one-time, lifetime membership fee (currently US$10.00) is not a Subscription. It is charged once, does not auto-renew, and creates no recurring obligation of any kind. These Subscription Terms apply only to recurring Product purchases you separately elect.
3. Nature of Subscription
A Subscription is a recurring purchase arrangement under which Products are automatically shipped to you at regular intervals, and your selected payment method is automatically charged at the applicable billing frequency, until you cancel.
4. Automatic Renewal Authorization
By completing a Subscription purchase, you expressly authorize us and our payment processors to charge your payment method on a recurring basis without further authorization at each billing cycle, until you cancel in accordance with these Subscription Terms. This authorization remains in effect unless and until you cancel your Subscription.
5. Billing Frequency and Charges
Your Subscription will renew at the interval disclosed at checkout (for example, every 30 days, every 60 days, or as otherwise specified). You will be charged the Product price in effect at the time of billing, plus applicable taxes and shipping and handling (if applicable). Prices may change from time to time; any changes will apply to future billing cycles and will be communicated as required by law before they take effect.
6. Pre-Billing Disclosure
At the time of checkout, you will be presented with clear notice that the Subscription auto-renews; the billing frequency; the recurring charge amount or pricing method; and cancellation instructions. Your completion of checkout constitutes your affirmative consent to these terms. We maintain records of your enrollment, including timestamp, IP address, version of policies in effect, and consent checkboxes captured.
7. Cancellation Policy
You may cancel your Subscription at any time prior to the next billing date, through your online Account portal on the Services or by contacting customer support at contact@vilixium.com. Cancellation will take effect for future billing cycles only. If cancellation occurs after a billing cycle has been processed, that Order will not be reversed except as expressly required by non-waivable consumer protection law. We provide a simple cancellation mechanism consistent with FTC negative-option requirements.
8. No Retroactive Refunds
All Subscription charges are final once processed. Failure to cancel prior to the billing date does not entitle you to a refund. Refunds in respect of Subscription Orders are governed exclusively by the Refund and Returns Policy.
9. Failed Payments
If a payment fails, we may retry billing, suspend or cancel the Subscription, and/or contact you to update payment details. We reserve the right to recover unpaid amounts together with any associated processing fees or costs of collection.
10. Effect of Membership Status
Because Subscriptions are a member benefit, suspension or termination of your Membership may result in cancellation of any active Subscription. We will not continue to bill a Subscription after Membership has ended, except for a Subscription Order already processed prior to that time.
11. Changes to Subscription Terms
We may modify these Subscription Terms or any specific Subscription program from time to time. Changes will apply prospectively (to future billing cycles) and will not affect charges already processed prior to the effective date of the change. Where required by law, we will provide notice in advance of a material change taking effect.
12. Account Responsibility; Fraud and Abuse
You are responsible for maintaining accurate billing and shipping information, monitoring your Subscription, and ensuring timely cancellation if desired. We are not responsible for charges incurred because of outdated or inaccurate information you have provided. We reserve the right to suspend, modify, or terminate any Subscription where fraud, abuse, chargeback abuse, payment-instrument abuse, address abuse, or other policy violations are suspected, in addition to all remedies available under the Terms of Service and the Refund and Returns Policy.
13. Governing Terms
These Subscription Terms are incorporated into the Terms of Service and governed accordingly. The mandatory arbitration and class-action waiver provisions in the Terms of Service apply to all disputes arising out of or relating to a Subscription.
